Please read these Terms of Service ("Terms") carefully before using EngageAIQ ("Service") operated by EngageAIQ ("us," "we," or "our").

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

EngageAIQ provides an AI-powered automation service for Instagram Business accounts that:

• Automatically responds to direct messages (DMs)
• Automatically replies to comments on posts
• Learns your communication style from your content
• Manages engagement through artificial intelligence
• Provides analytics and insights

3. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have a valid Instagram Business or Creator account
• Have the legal authority to enter into these Terms
• Comply with Instagram's Terms of Service and Platform Policies
• Not be located in a country subject to a U.S. Government embargo

4. Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• You are responsible for all activities under your account
• One account per Instagram Business account

5. Instagram Account Connection

• You must own or have authorized access to the Instagram account you connect
• You grant us permission to access your Instagram data as described in our Privacy Policy
• You can disconnect your Instagram account at any time
• We access Instagram data through official Meta APIs only

6. Acceptable Use

6.1 You May

• Use the Service for lawful business purposes
• Automate responses to genuine customer inquiries
• Improve your engagement with your audience
• Customize AI responses to match your brand

6.2 You May NOT

• Use the Service for spam, harassment, or abusive behavior
• Violate Instagram's Terms of Service or Platform Policies
• Send unsolicited messages or engage in bulk messaging
• Impersonate others or misrepresent your identity
• Use the Service for illegal activities
• Attempt to circumvent any limitations or restrictions
• Reverse engineer or attempt to extract our source code
• Resell or redistribute the Service without authorization

7. Subscription and Payment

• Service is provided on a subscription basis
• Subscription fees are charged monthly or annually as selected
• Payment is processed through Stripe
• All fees are in Euros (EUR) unless otherwise stated
• Fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• You must maintain valid payment information
• Failure to pay may result in service suspension

8. Free Trial (if applicable)

• Free trial period may be offered at our discretion
• Trial ends when period expires or trial limits reached
• Credit card required for trial (no charge during trial)
• Cancel before trial ends to avoid charges
• One trial per customer

9. Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of current billing period
• No refunds for partial months or unused features
• You retain access until end of paid period
• We may offer refunds at our sole discretion

10. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Service may be temporarily unavailable for maintenance
• We are not liable for downtime or service interruptions
• Instagram API changes may affect functionality

11. AI-Generated Content

Regarding AI-generated responses:

• You are responsible for reviewing and approving AI behavior
• You can review all conversations through your dashboard
• You can take manual control of any conversation at any time
• You are responsible for the content sent through your account
• We are not liable for AI-generated responses
• You should monitor AI responses regularly

12. Intellectual Property

• The Service, including software, design, and content, is owned by EngageAIQ
• You retain ownership of your Instagram content and data
• You grant us license to process your content for service provision
• Our trademarks and logos may not be used without permission

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of AI responses
• Compatibility with Instagram's platform

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not liable for Instagram account suspensions or bans
• We are not liable for loss of data, revenue, or business
• You use the Service at your own risk

15. Indemnification

You agree to indemnify and hold harmless EngageAIQ from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of Instagram's policies
• Your use of the Service
• Content sent through your Instagram account via our Service

16. Termination

We may terminate or suspend your account:

• For violation of these Terms
• For violation of Instagram policies
• For non-payment
• For fraudulent or abusive behavior
• At our discretion with notice

Upon termination:

• Your access to the Service will cease
• No refunds will be provided (except as required by law)
• You may request data export within 30 days

17. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use after changes constitutes acceptance of new Terms.

18. Governing Law

These Terms are governed by the laws of Romania. Any disputes will be resolved in the courts of Romania.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EngageAIQ.
